Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Kolvera platform, operated by Zionic Group Pty Ltd (ABN 51 689 146 861) ("Kolvera", "we", "us", or "our"), a company registered in Australia. By creating an account or using the service, you agree to be bound by these Terms.

1. Account Terms

You must be at least 18 years of age to use Kolvera. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

You agree to provide accurate, current, and complete information during registration and to update it as necessary. We reserve the right to suspend or terminate accounts that contain false or misleading information.

Each user account belongs to a single tenant (organisation). Team accounts may have multiple users under a shared tenant, subject to the seat limits of your subscription plan.

2. Acceptable Use

You agree to use Kolvera only for lawful business purposes. You must not:

  • Send unsolicited bulk email (spam) or violate the CAN-SPAM Act, GDPR, Australian Spam Act 2003, or equivalent legislation in your jurisdiction
  • Use the platform to harass, threaten, or abuse any individual
  • Scrape, harvest, or collect data from Kolvera for use outside the platform
  • Attempt to gain unauthorised access to other users' accounts or data
  • Use the platform to transmit malware, viruses, or other harmful content
  • Reverse-engineer, decompile, or disassemble any part of the platform
  • Resell or redistribute access to the platform without our written permission
  • Use the dialler to make calls that violate telecommunications regulations, including the Australian Do Not Call Register Act 2006

We reserve the right to suspend or terminate your account if we reasonably believe you are violating these terms.

3. Subscription and Payment Terms

Kolvera offers subscription plans billed either monthly or annually, depending on the billing interval you select at checkout. All prices are in Australian dollars (AUD) unless otherwise stated. Payment is processed securely through Stripe.

Your subscription renews automatically at the end of each billing cycle (monthly or annually, depending on your plan). You authorise us to charge your payment method on file for recurring fees.

Free trial: New accounts receive a 14-day free trial. A valid payment method is required to start the trial. If you do not cancel before the trial ends, your account will automatically convert to the Starter plan and your payment method will be charged.

Credits: Some features consume credits (e.g., contact enrichment, company research). Credits are included in your plan and reset at the start of each billing cycle. Unused plan credits do not roll over. Purchased credit top-ups do not expire and are consumed after plan credits are used.

Add-ons: Optional add-on subscriptions (e.g., dialler activation) are billed separately on a monthly basis regardless of your plan's billing interval. Minute packs and credit top-ups are one-time purchases.

Price changes: We may change subscription pricing with 30 days' written notice. The new price takes effect at the start of your next billing cycle after the notice period.

4. Cancellation and Refunds

You may cancel your subscription at any time from the Billing page within the platform. Upon cancellation:

  • Your account remains active until the end of the current billing period
  • No further charges will be made
  • Your data is retained for 30 days after the billing period ends, then permanently deleted
  • Unused credits are forfeited and are not refundable

We do not offer refunds for partial billing periods. If you believe you have been charged in error, contact us at billing@kolvera.io within 14 days of the charge.

5. Your Data

You retain ownership of all data you upload, create, or generate within Kolvera, including contacts, companies, email content, call recordings, and notes.

You grant us a limited licence to store, process, and transmit your data as necessary to operate the platform and provide the service. This includes sending your data to third-party service providers for AI processing, calling, transcription, and research features as described in our Privacy Policy.

We will not access your data for purposes other than providing and improving the service, except where required by law.

6. Intellectual Property

The Kolvera platform, including its design, code, branding, documentation, and AI models, is the intellectual property of Zionic Group Pty Ltd. You may not copy, modify, or create derivative works based on the platform.

AI-generated content (emails, call summaries, research notes) is provided as a tool for your use. You are responsible for reviewing and approving all AI-generated content before it is sent or published.

7. Limitation of Liability

To the maximum extent permitted by Australian law:

  • Kolvera is provided "as is" and "as available" without warranties of any kind, express or implied
  • We do not guarantee uninterrupted access, data accuracy, or specific results from the platform
  • We are not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the service
  • Our total liability for any claim related to the service is limited to the amount you have paid us in the 12 months preceding the claim
  • We are not responsible for the content of emails you send, calls you make, or business decisions made based on data or AI suggestions from the platform

Nothing in these terms excludes or limits liability that cannot be excluded under Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010).

8. Indemnification

You agree to indemnify and hold harmless Kolvera, its officers, directors, and employees from any claims, damages, or expenses (including legal fees) arising from your use of the platform, your violation of these Terms, or your violation of any applicable law or regulation.

9. Service Availability

We aim to maintain high availability but do not guarantee 100% uptime. We may perform scheduled maintenance with reasonable advance notice. We are not liable for downtime caused by factors beyond our control, including third-party service outages, internet disruptions, or force majeure events.

10. Modifications to the Service

We reserve the right to modify, suspend, or discontinue any part of the service at any time. For material changes that reduce functionality, we will provide at least 30 days' notice. Continued use after changes constitutes acceptance.

11. Governing Law

These Terms are governed by the laws of New South Wales, Australia. Any disputes arising from these Terms or your use of Kolvera will be subject to the exclusive jurisdiction of the courts of New South Wales.

12. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

13. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Kolvera regarding your use of the platform.
